Zondi—Activity-First Travel Meetup Platform

IMPORTANT NOTICE

These Terms of Use ("Terms") govern your access to and use of the Zondi platform, including our website, mobile application, and all related services and features (collectively, the "Platform"). By accessing or using Zondi, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

1. Acceptance of Terms

By creating an account, accessing the Platform, or using any Zondi services, you agree to these Terms. We may update these Terms at any time. Continued use of the Platform following any modifications constitutes your acceptance of the updated Terms. We will notify you of material changes via email or prominent notice on the Platform.

If you are registering on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Zondi is an activity-first platform that connects users seeking real-life meetups and shared activities. The Platform enables users to:

  • Create user profiles with personal information and activity preferences
  • Browse and discover other users nearby who share activity interests
  • Send and receive meetup requests
  • Communicate with other users through in-app messaging
  • Coordinate offline meetings through a Meetup Card system
  • Rate and provide feedback on completed meetups

Zondi facilitates connections between users but does not organize, host, or participate in any off-platform activities. The Platform is a communication and discovery tool only.

3. Eligibility and Age Requirement

You must be at least eighteen (18) years of age to create an account and use Zondi. By registering, you represent and warrant that you are 18 years or older and legally capable of entering into a binding contract. We do not knowingly collect personal information from persons under 18 years of age.

We reserve the right to request proof of age at any time. Accounts created by or on behalf of persons under 18 will be immediately terminated.

4. User Conduct and Responsibilities

You agree to use Zondi in compliance with all applicable laws and regulations. You must not:

  • Use the Platform for any illegal, fraudulent, or deceptive purpose
  • Impersonate any person or organization, or misrepresent your identity or affiliation
  • Submit false, incomplete, or misleading information in your profile
  • Harass, threaten, abuse, defame, or otherwise harm other users
  • Post offensive, discriminatory, sexually explicit, or otherwise inappropriate content
  • Engage in any form of sexual exploitation, trafficking, or coercion
  • Solicit or provide illegal drugs, weapons, or other contraband
  • Attempt to manipulate Platform algorithms, disrupt services, or bypass security measures
  • Engage in spam, unsolicited commercial solicitation, or multi-level marketing
  • Collect or attempt to collect personal information from other users for unauthorized purposes

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Zondi immediately of any unauthorized access or use of your account.

5. Content and Intellectual Property

Content Submitted by Users: You retain ownership of any content you upload, submit, or display on Zondi, including photos, text, and other media ("User Content"). By submitting User Content, you grant Zondi a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display such content for the purpose of operating and improving the Platform.

Zondi Intellectual Property: All content, features, functionality, and materials on the Platform that are not User Content, including the Zondi logo, design, layout, and proprietary technology, are owned by or licensed to Zondi and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or use any such content without Zondi's express written permission.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. ZONDI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that the Platform will meet your specific requirements or expectations
  • Any warranty regarding the accuracy, completeness, or reliability of user profiles or content
  • Any warranty that the Platform will be uninterrupted, error-free, or secure

Zondi does not warrant that any defects or errors will be corrected, or that the Platform will be compatible with any particular software or hardware.

7. Limitation of Liability and Disclaimer of Responsibility for Off-Platform Activities

7.1 Disclaimer Regarding Offline Meetings and Activities

CRITICAL LIMITATION: Zondi is a platform for discovering and connecting with other users. The Platform does not organize, facilitate, host, supervise, or participate in any offline meetings, activities, or events. All activities that take place offline and outside of the Zondi Platform are conducted at the sole risk and discretion of the participating users.

Zondi explicitly disclaims any responsibility for:

  • The conduct, behavior, appearance, or truthfulness of any user met through the Platform
  • Any physical harm, injury, or damage suffered by any user during or as a result of an offline meeting or activity
  • Sexual assault, harassment, discrimination, or any form of abuse occurring offline
  • Theft, loss, or damage to property during offline meetings or activities
  • Misrepresentation or fraud by users regarding their identity, age, location, or intentions
  • Violation of any law or regulation by users during offline meetings or activities
  • Financial disputes, payment issues, or non-performance of any commitments made offline
  • Any form of discrimination, harassment, or hostile behavior based on protected characteristics
  • Exposure to disease, illness, or contagious conditions during or after offline meetings
  • Travel-related accidents, injuries, or incidents occurring in connection with offline meetings

BY USING ZONDI AND AGREEING TO MEET OTHER USERS OFFLINE, YOU ASSUME FULL RESPONSIBILITY FOR YOUR OWN SAFETY, SECURITY, AND WELL-BEING. You acknowledge that you have not relied on Zondi to evaluate the safety or suitability of any user or offline activity.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZONDI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunity
  • Damages arising from unauthorized access, data breaches, or service interruptions

EXCEPT IN CASES OF GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, ZONDI'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO ZONDI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR IF NO PAYMENT WAS MADE, ONE HUNDRED EUROS (€100).

8. Future Paid Features

Zondi currently operates as a free platform. In the future, Zondi may introduce optional premium features, subscriptions, or paid services. If and when such features are introduced:

  • All pricing, billing, and payment terms will be clearly disclosed before you are charged
  • You will have the option to opt-in or decline premium features without penalty
  • A separate supplemental agreement or terms will govern the use of paid services
  • Refund policies, if any, will be disclosed at the time premium features are introduced

Zondi reserves the right to modify, suspend, or discontinue any feature at any time. If a paid feature is discontinued, you will receive a pro-rata refund for any pre-paid fees.

9. Account Termination

Termination by You: You may terminate your account at any time by using the delete account option in the Platform settings. Upon termination, your account and associated content will be deleted, and you will no longer have access to the Platform.

Termination by Zondi: Zondi may suspend or terminate your account immediately without notice if: (a) you violate any provision of these Terms; (b) you engage in illegal activity; (c) you harass or pose a risk to other users; or (d) we believe termination is necessary to protect the safety or integrity of the Platform. In such cases, you will be notified of the termination and the reason, where legally permitted.

Effect of Termination: Upon termination, your license to use the Platform is revoked. All provisions of these Terms that by their nature should survive termination shall survive, including limitations of liability, indemnification, and dispute resolution provisions.

10. Governing Law and Dispute Resolution

Governing Law: These Terms and your use of Zondi shall be governed by and construed in accordance with the laws of Malta, without regard to its conflict of law principles. Malta is the jurisdiction where Zondi is established and operated.

Exclusive Jurisdiction: You agree that any legal proceedings, claims, or disputes arising out of or relating to these Terms or Zondi shall be submitted exclusively to the competent courts of Malta. You consent to the personal jurisdiction of Maltese courts and waive any objection to venue or claim of inconvenient forum.

Dispute Resolution Process: Before initiating formal legal proceedings, either party may send written notice of a dispute to the other party. The parties agree to attempt in good faith to resolve any dispute through informal negotiation within thirty (30) days of such notice. If negotiation fails, the dispute shall be resolved in accordance with Maltese law and through the competent courts of Malta.

If you are a consumer under Maltese law, you may also have the right to pursue claims in your local consumer protection authorities or alternative dispute resolution bodies, if available. This clause does not limit your statutory consumer rights.

11. Changes to Terms of Use

Zondi reserves the right to modify these Terms at any time. Material changes will be communicated to you via email or a prominent notice on the Platform at least thirty (30) days prior to the change taking effect. Your continued use of the Platform after such notice constitutes your acceptance of the modified Terms. If you do not agree to the modifications, you must terminate your account and cease using the Platform.

Additional Legal Provisions

Severability

If any provision of these Terms is found to be invalid, unenforceable, or unlawful by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms of Use, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Zondi regarding your use of the Platform and supersede any prior agreements, understandings, or representations. No employee or representative of Zondi has the authority to make any representations or promises that are not contained in these Terms.

Waiver

The failure of Zondi to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be made in writing and signed by an authorized representative of Zondi.

Compliance with Laws

You agree to comply with all applicable laws, regulations, and licensing requirements in your jurisdiction when using Zondi. Zondi is designed to comply with the General Data Protection Regulation (GDPR) and applicable Maltese data protection laws. For information about how we handle your personal data, please refer to our Privacy Policy.

Assignment

You may not assign or transfer your rights or obligations under these Terms without Zondi's prior written consent. Any attempted assignment without such consent is void. Zondi may assign these Terms or its rights hereunder to any successor or related entity without restriction or notice to you.


By using Zondi, you acknowledge that you have read and understood these Terms of Use and agree to be bound by them.
